Terms and Conditions
Last updated: 18 October 2026
1. About these terms
These Terms and Conditions apply to all services provided by Vanteli Digital (“we”, “us”, “our”), a business based in Perth, Western Australia, Australia. Our services include web design, e-commerce, social media management and AI automation. They also apply to your use of our website at https://vantelidigital.com.
By accepting a quote or proposal, paying an invoice, or asking us to start work, you (“the client”, “you”) agree to these terms. If a signed agreement or proposal contains terms that conflict with these, the signed agreement or proposal prevails to the extent of the conflict.
2. Quotes and proposals
- A quote or proposal sets out the services, deliverables, estimated timeframes and fees we have agreed to provide.
- Each quote is valid for the period stated on it. After that period we may update or withdraw it.
- The scope of work is limited to what is described in the accepted quote or proposal. Anything not listed is outside the scope.
- Timeframes are estimates. They depend on you providing what we need, when we need it.
- Bookings for calls or consultations are made through Google Calendar appointment booking. A booking is not a commitment to engage our services.
3. Payment
- We issue invoices through Stripe. You can pay using the payment methods offered on the invoice.
- Invoices are payable by the due date shown on the invoice. Deposits, milestone payments or recurring fees (such as monthly management fees) will be set out in your quote or proposal.
- Unless stated otherwise, fees are in Australian dollars. Where GST applies, it will be shown on the invoice.
- If an invoice is overdue, we may pause work, restrict access to deliverables or suspend ongoing services until the amount is paid.
- Third-party costs, such as domain names, hosting, plugin or software licences, advertising spend and platform subscriptions, are not included in our fees unless the quote says so.
- Stripe processes payments under its own terms and privacy practices. We do not store your full card details.
4. Client responsibilities
To deliver the services well, we rely on you to:
- Provide content: supply text, images, logos, product information and other material in a usable format and on time.
- Own or have rights to your content: make sure you have the right to use everything you give us, including images, music, fonts and brand assets.
- Give approvals: review and approve designs, drafts and content at each stage.
- Provide access: give us the access we reasonably need, such as hosting, domain, website, social media, e-commerce and analytics accounts.
- Give timely feedback: respond to requests within a reasonable time. Delays on your side may extend timelines and may affect scheduling of our work.
- Keep your accounts secure: manage your own passwords and permissions, and remove our access when the engagement ends if you wish.
5. Changes and additional work
- If you want changes that go beyond the agreed scope, we will tell you and, where practical, provide a revised quote or estimate before doing the work.
- Additional work starts once you have agreed to it in writing, including by message or email reply.
- Reasonable revisions within the scope and number of revision rounds stated in your quote are included. Further rounds may be charged.
- Changes may affect timeframes and fees.
6. Intellectual property
- Transfer on full payment: once you have paid all amounts due for a project in full, ownership of the final custom deliverables we created for you (such as custom designs, written content we produced and custom website files) transfers to you.
- Until full payment: we keep ownership of the work, and you may not use it publicly or commercially unless we agree otherwise.
- Third-party materials: stock images, fonts, themes, plugins, software and other third-party materials remain subject to their own licences. Those licences are not transferred to you as ownership. You may need to hold or renew licences in your own name.
- Our tools and know-how: we keep ownership of our pre-existing tools, code libraries, templates, workflows, automations, processes and general know-how, including improvements to them. Where these form part of a deliverable, we grant you a non-exclusive, non-transferable licence to use them as part of that deliverable.
- Your materials: you keep ownership of the content and brand assets you give us. You allow us to use them to deliver the services.
- Portfolio: unless you tell us otherwise, we may refer to the completed work and display it in our portfolio and marketing.
7. Third-party services and platforms
Our services often rely on platforms and tools we do not own or control. These may include website hosts, domain registrars, payment providers, social media networks, e-commerce platforms, analytics tools, CRM systems and AI services.
- These providers set their own terms, fees, features and policies, and may change or discontinue them without notice.
- You are responsible for complying with the terms of any third-party platform used for your business, and we may need you to accept those terms.
- We are not responsible for outages, changes, account suspensions, algorithm changes or other events caused by a third party, to the extent permitted by law.
- Social media: we do not guarantee particular results such as reach, followers, engagement, leads or sales.
- AI automation: AI-generated outputs can be inaccurate, incomplete or unsuitable. You are responsible for reviewing outputs and deciding how they are used in your business, particularly in customer communications or decisions with legal or financial consequences.
8. Warranties and limitation of liability
- We will provide our services with due care and skill.
- Australian Consumer Law: nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term, that you have under the Australian Consumer Law or other legislation and that cannot lawfully be excluded or limited.
- Subject to the above, and to the extent the law allows, we do not promise that a website, system or automation will be uninterrupted, error-free or achieve specific business results.
- Subject to the above, and to the extent the law allows, we are not liable for indirect or consequential loss, including loss of profit, revenue, data, business opportunity or goodwill.
- Where our liability for a breach of a consumer guarantee or other non-excludable right can be limited, our liability is limited, at our choice, to supplying the services again or paying the cost of having the services supplied again.
- Subject to the above, our total liability in connection with a project is limited to the fees you have paid us for that project.
- You are responsible for keeping backups of your own content and data unless a backup service is expressly included in your quote.
9. Cancellations and termination
- Cancellation by you: you may cancel a project or ongoing service by giving us written notice. Contact us via our contact form. Ongoing services may require the notice period stated in your quote or proposal.
- Payment on cancellation: you must pay for work completed up to the date of cancellation, any agreed deposit or milestone that has fallen due, and any non-refundable third-party costs we have committed to on your behalf.
- Termination by us: we may suspend or end the services if you do not pay on time, seriously breach these terms, or do not provide the content, access or approvals we reasonably need for an extended period. We will give you reasonable notice where practical.
- After termination: amounts owing remain payable. Intellectual property in work not yet paid for stays with us under section 6.
- Nothing in this section limits any right you have under the Australian Consumer Law, including any right to a refund or remedy.
10. Privacy
We take your privacy seriously. Our Privacy Policy explains how we collect, use and protect personal information. Our website uses tools such as Google Analytics (through Site Kit), Independent Analytics, Fluent Forms, HubSpot and Complianz cookie management, and uses Google Calendar for appointment bookings. Please read the Privacy Policy for details.
If you give us personal information about other people, such as your customers or staff, you confirm you are allowed to share it with us for the purpose of the services.
11. Governing law
These terms are governed by the laws of Western Australia, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia and any courts that can hear appeals from them.
12. Changes to these terms
We may update these terms from time to time. The “Last updated” date at the top shows when they were last changed. Updated terms apply to new engagements and to the continued use of ongoing services after the update.
